Participation in the Kianga Ellis Projects Association (KEPA) on Juicebox.money

1. Acceptance of Terms

By interacting with the KEPA Juicebox.money smart contract, including minting or purchasing tokens or NFTs associated with this project, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms").

These Terms govern your access to and use of the smart contracts and associated media, governance rights, and financial participation mechanisms provided through the Juicebox.money platform for KEPA.

2. Nature of the Platform and Smart Contracts

Juicebox.money is a decentralized crowdfunding protocol that enables creators to raise funds through Ethereum smart contracts.

  • KEPA is a creator-managed project launched on Juicebox.money by Kianga Ellis Projects.

  • Smart contracts deployed via Juicebox.money are autonomous and immutable, and interactions with them are conducted at your own risk.

  • There is no centralized custodian, and no refunds or reversals are possible once funds are sent to the smart contract other than as may be available in a current rule set which are subject to change every 28 days.

3. Membership NFTs and Tokens

By contributing to this project:

  • You may receive ERC-20 tokens, which represent your support for the project and may carry governance, utility, or symbolic value, as described on the project page.

  • You may also receive ERC-721 (NFT) Membership Badges, which may represent membership tiers, access rights, or digital collectibles.

  • Special Patron Membership Badges may be available from time to time to raise charitable gift fundings for other organizations and groups. Unless otherwise disclosed, the project owner receives no benefit or other consideration for this gift program and is not responsible for the further specification and use of funds by the beneficiary organization or group.

  • No financial returns or profits are promised. These assets are not investment instruments, and do not represent equity, debt, or ownership in a legal entity.

4. Use of Funds

Funds received are held and distributed according to smart contract rules defined by KEPA.

  • KEPA may allocate these funds toward operations, development, community initiatives, or other uses.

  • Payment schedules, distributions, and any reserved token mechanics are pre-programmed and transparent and viewable on the Juicebox.money interface.

5. Risk Disclosures

Participation in blockchain-based crowdfunding carries significant risks, including but not limited to:

  • Smart contract bugs or vulnerabilities

  • Volatility of Ethereum or project tokens

  • Regulatory uncertainty

  • Loss of private keys or digital wallets

  • Lack of secondary market liquidity

You acknowledge and accept these risks and agree that you are participating voluntarily.

6. No Warranties or Guarantees

  • The project and its assets are offered on an "as is" and "as available" basis.

  • The creators make no guarantees regarding the future value, functionality, or utility of tokens or NFTs.

  • The creators are not liable for any direct, indirect, or incidental damages resulting from your interaction with the project smart contracts.

7. Legal Compliance

You agree that:

  • You are not located in a jurisdiction where participation is prohibited by law.

  • You are at least 18 years of age or the age of majority in your jurisdiction.

  • You will not use the platform to launder funds, evade sanctions, or for any illicit activity.

The creators reserve the right to block participation from certain regions or addresses if legally required or advisable at the sole discretion of the creators or their advisors.

8. Intellectual Property

Unless otherwise stated:

  • All content, branding, and media associated with KEPA are the property of their respective creators.

  • Ownership of tokens or NFTs does not confer intellectual property rights, except where specifically granted (e.g., commercial rights attached to NFTs).

9. Governance and DAO Participation

If KEPA includes a Decentralized Autonomous Organization (“DAO”):

  • Holding tokens or NFTs may allow you to participate in governance proposals or votes.

  • Governance is non-binding, unless codified in smart contracts.

  • Decisions made via governance are community-driven and may evolve over time.

10. Modifications to the Terms

These Terms may be updated from time to time. However:

  • The terms do not alter the logic of existing smart contracts.

  • Any changes will be posted to the project’s page or communications channel (e.g., X, Rumble).

Continued interaction with the project after updates constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by the principles of code-is-law, subject to applicable laws in your jurisdiction. Where legal interpretation is required, the laws of New York State shall apply.

By minting, donating, or interacting with KEPA on Juicebox.money, you affirm that you understand and agree to these Terms.
